1.About these Terms
1.1z3nastore.com, together with its pages, previews, verification service and related features (the "Store"), is operated by Z3NA Beats Ltd, a company incorporated in the Federal Republic of Nigeria ("Z3NA Beats Ltd", "we", "us" or "our").
1.2By accessing or using the Store you agree to be bound by these Terms of Use, our Privacy Policy and, where you make a purchase, our Terms of Sale and Refund Policy. If you do not agree, you must not use the Store.
1.3Where these Terms of Use conflict with a License Agreement issued to you, the License Agreement prevails in respect of your rights in the relevant Beat.
2.Definitions
2.1In these Terms: "Beat" means an instrumental musical work, including its sound recording and underlying composition, offered on the Store; "License Agreement" means the written license issued for a purchase, which sets out the rights granted in a Beat; "Producer" means Otaigbe Peace Nehizena p/k/a Z3NA, together with any co-producer named in a License Agreement, as the owner of the copyrights in the Beats; and "you" means any person who accesses or uses the Store.
3.Eligibility
3.1You must be at least eighteen (18) years of age, or the age of majority where you live if higher, to make a purchase. A person under that age may only purchase through a parent or legal guardian who accepts these Terms on their behalf.
3.2If you use the Store on behalf of a company, label or other organisation, you confirm that you are authorised to bind it to these Terms.
4.Intellectual property in the Store
4.1All content on the Store, including Beats, previews, audio, text, graphics, the Z3NA name and logo, and the design and software of the Store, is owned by or licensed to Z3NA Beats Ltd or the Producer and is protected by copyright, trademark and other laws.
4.2You may view the Store and stream previews for the sole purpose of evaluating Beats for purchase. No other right or license is granted except under a License Agreement.
4.3The names "Z3NA" and "Z3NA Beats" and the Z3NA logo may not be used in a way that suggests endorsement, affiliation or sponsorship without our prior written consent, except to give the producer credit required by a License Agreement.
4.4Artwork displayed with Beats is for presentation only, does not form part of any License Agreement, and belongs to its respective owners.
5.Previews
5.1Previews on the Store may contain an audible voice tag and are provided for evaluation only.
5.2You must not download, record, rip, capture or re-upload any preview, remove or obscure a voice tag, or use a preview in any recording, release, performance or broadcast. Any such use is unlicensed and constitutes copyright infringement.
6.Prohibited conduct
6.1You must not, and must not permit any other person to:
(a)copy, scrape, harvest, mirror, frame or reproduce any part of the Store or its content, by automated means or otherwise;
(b)use any Beat, preview, stem or other content from the Store to train, fine-tune, test or prompt any artificial intelligence or machine learning system, or to generate output with such a system;
(c)interfere with, disrupt, overload or attempt to gain unauthorised access to the Store, its servers or connected systems, or test their security without our written permission;
(d)use the Store for any fraudulent or unlawful purpose, including the use of payment details without authorisation;
(e)submit false information, impersonate any person, or misrepresent your affiliation with any person; or
(f)register any Beat, or any recording made with a Beat, with a content identification service except as expressly permitted by your License Agreement.
7.Submissions
7.1When you send us a beat request, an offer, a booking request or any other message (a "Submission"), you confirm that the Submission is accurate and does not infringe any third party's rights.
7.2A Submission does not create any obligation on us to accept an offer, create a Beat or provide a service, unless and until we confirm in writing.
7.3You grant us a non-exclusive, royalty-free licence to use a Submission for the purpose of responding to it and operating the Store.
8.License verification
8.1Each License Agreement carries a unique license number. Any person may enter a license number on the verification page to view the status of that License Agreement and limited details of it, as described in our Privacy Policy.
8.2The verification page reflects our records at the time of the check. A license shown as revoked, replaced or not found confers no rights.
9.Third-party services
9.1Payments on the Store are processed by third-party payment providers, and the Store relies on third-party hosting and email services. Your use of those services may be subject to their own terms. We are not responsible for the acts or omissions of third-party providers.
9.2Links to third-party websites are provided for convenience only. We do not endorse and are not responsible for their content.
10.Availability
10.1We use commercially reasonable efforts to keep the Store available, but we do not guarantee that it will be uninterrupted, timely or error-free. We may suspend, change or withdraw any part of the Store, including any Beat, at any time.
11.Disclaimer
11.1Except as expressly stated in a License Agreement or our Terms of Sale, the Store and its content are provided "as is" and "as available", without warranties of any kind, whether express or implied, to the fullest extent permitted by law.
12.Limitation of liability
12.1To the fullest extent permitted by law, neither Z3NA Beats Ltd nor the Producer shall be liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue, opportunity or goodwill, arising from your use of the Store.
12.2Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.
13.Indemnity
13.1You agree to indemnify and hold harmless Z3NA Beats Ltd, the Producer and their officers and service providers from any claim, loss, liability, cost or expense (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Store.
14.Suspension
14.1We may suspend or restrict your access to the Store, decline any Submission or order, or take any other reasonable action if we believe that you have breached these Terms or that your use of the Store presents a risk of fraud, infringement or harm.
15.Changes
15.1We may amend these Terms from time to time by publishing a revised version on the Store. The date at the top of this page shows when they were last updated. Changes do not affect any License Agreement already issued.
16.Governing law and jurisdiction
16.1These Terms are governed by the laws of the Federal Republic of Nigeria. The courts of Nigeria shall have exclusive jurisdiction over any dispute arising from them, without prejudice to any mandatory rights you may have under the laws of the country in which you live.
17.General
17.1If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
17.2No failure or delay by us in exercising any right shall operate as a waiver of it.
17.3You may not assign or transfer your rights under these Terms. We may assign our rights and obligations in connection with a reorganisation, merger or sale of our business.
